well i run opensuse 12.2 on a notebook. All is fine
but believe it or not: Setting up the system-clock - allways fails - what goes wrong here!
can you advice !

No, I can not - unless you tell us how exactly you set up the system
clock and how does it fail.

If you dual boot with Windows you may have a conflicting base time scale. Windows expect the clock to be set tot local time and Linux expect the clock to be set to UTC. But we don’t know that since yo only said it is broken not how it is broken and if you dual boot. So more info is needed.
