I assume,
- your SuSE (device eth0 or ppp0) successfully connects to the
Internet
- your XP successfully connects to SuSE (device eth1)
- your XP does not yet connect through SuSE to the Internet.

In most cases it's enough to run YaST2 firewall say "yes" or "ok" to everything and check the box "enable ip forwarding and masquerading".
Once
this works, you can think about smarter options like a caching DNS or
a
squid proxy.

SUSE 9.3 connects to internet via a Fixed Wireless Phone that is
successfuly configured as Modem,
my internet connection is dialup,
XP Mechine can ping my SUSE 9.3 system and can transefer files via
SAMBA,
if i enable IP-Forwording then SUSE 9.3 may not use internet
connection,
i think it just forwards what has been requested? am i correct?

No, both machines will be able to use the connection.
